Terms of Service

In plain language:
AdPilot is an AI assistant for Google Ads — it recommends, you decide. No change is ever applied to your Google Ads account without your explicit approval, and we do not guarantee any advertising results. You remain responsible for your Google Ads account and for all advertising spend charged by Google. The full sections below control.
1. Who we are, and your acceptance of these Terms
1.1 The service at heyadpilot.com (“AdPilot”, the “Service”) is operated by Junaid Dar, sole proprietor, Ras Al Khaimah, United Arab Emirates (“we”, “us”). Contact: junaid@heyadpilot.com.
1.2 By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1.3 If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization, and “you” means that organization.
1.4 AdPilot is an independent product. Google Ads is a trademark of Google LLC. AdPilot is not affiliated with, sponsored by, or endorsed by Google.
2. The Service
2.1 What AdPilot does. AdPilot connects to your Google Ads account (with your authorization, Section 4) and provides: an AI chat assistant that analyzes your account and answers questions; AI-generated recommendations for changes (“Proposals”) such as budget adjustments, bid adjustments, keyword changes, ad text changes, campaign status changes, and new campaign drafts; weekly AI-written performance reports; dashboards, before/after comparisons, and a change history.
2.2 Human approval is required for every change. The Service never applies a change to your Google Ads account automatically. Every Proposal must be individually reviewed and approved by you before it is applied, and you can reject any Proposal. Your approval is given with a single click on the Proposal; no further confirmation step is required, and the approved change is then applied as described on the Proposal. For a Proposal that creates a new campaign, the Proposal states — and you choose — whether the campaign goes live immediately once the change is applied or is created in a paused state.
2.3 Built-in guardrails. The Service enforces technical limits, including: campaigns cannot be deleted through the Service; shared budgets are not modified through the Service; a snapshot of relevant metrics and settings is captured before every applied change; most applied changes can be reverted from the change history, and a revert — which restores the exact previous value — is itself a new Proposal that requires your approval. Guardrails are safety features, not promises that a change is correct or beneficial, and they may be adjusted over time (Section 14).
2.4 Records. For your protection and ours, the Service keeps a record of every Proposal: what was proposed, the reason given, the chat message that triggered it, the before-value, who approved or rejected it and when, when it was applied, a pre-change snapshot of account metrics and settings, and an audit log. These records survive deletion of chat history (where offered in the product or performed on request) and disconnection of your Google Ads account. They are retained while your account exists and for up to 6 years after closure for the establishment, exercise or defence of legal claims. We do not alter them in the ordinary course; where data-protection law requires, we redact personal identifiers while preserving the fact, time and content of each change.
2.5 No guarantee of advertising results. THIS IS IMPORTANT: AdPilot does not promise, warrant, or guarantee any advertising outcome — including any improvement in ROAS, CPA, CTR, conversions, cost, traffic, or revenue. Advertising performance depends on many factors outside our control (your market, your website, your products, seasonality, competitors, Google’s systems and policies). Any results shown on our website, including case studies, are individual results and are not typical, promised, or guaranteed.
2.6 Beta and preview features. Parts of the Service may be labeled beta or preview; such features are provided as-is for evaluation and may change or be withdrawn.
2.7 We may improve, modify, or discontinue features of the Service. If we discontinue the Service entirely for paying customers, we will give reasonable advance notice and refund any prepaid fees covering the period after discontinuation.
3. Account and eligibility — business use only
3.1 The Service is intended solely for business and professional use by companies, sole proprietors, freelancers, and agencies managing advertising accounts. It is not offered to consumers. By using the Service, you confirm you are using it for business purposes.
3.2 You must be at least 18 years old and able to enter binding contracts.
3.3 You agree to provide accurate account and billing information and keep it up to date. You are responsible for all activity under your account and for keeping your login credentials secure. Notify us promptly of any unauthorized use.
3.4 If, notwithstanding Section 3.1, mandatory consumer-protection law applies to you and cannot be waived, nothing in these Terms limits rights you have under that law.
4. Google Ads authorization
4.1 To use the Service, you connect your Google Ads account via Google’s OAuth consent flow. You thereby authorize AdPilot to access your Google Ads account through the Google Ads API for the purposes of the Service: reading account data and metrics, generating recommendations and reports, and — only after your explicit approval of a specific Proposal — applying that approved change.
4.2 You represent that you own the connected Google Ads account or are duly authorized by its owner to connect it and to approve changes to it (this includes agencies and freelancers connecting client accounts). You are responsible for having that authority.
4.3 You remain the owner of, and responsible for, your Google Ads account at all times — including your relationship and payment obligations with Google, your compliance with Google’s terms and advertising policies, and monitoring your account and its results.
4.4 You can revoke access at any time, either by disconnecting the account in AdPilot’s settings or by removing AdPilot’s access in your Google account security settings. Revoking access stops the Service from working with that account. Your change history, snapshots, and reports are retained as described in Section 2.4.
4.5 Access tokens for your Google Ads account are stored encrypted at rest (AES-256-GCM). Our use of data received from Google APIs complies with the Google API Services User Data Policy, including its Limited Use requirements, as described in our Privacy Policy.
5. Plans, free trial, billing, and credits
5.1 Free trial. Every new workspace starts with a free 7-day trial from the day the workspace is created — full product access, no credit card required, including 3,000 AI credits and 1 connected Google Ads account. When the trial ends, the Service stops (AI chat and all proposal actions are disabled) until you subscribe to a paid plan. Your data is kept and nothing is deleted; subscribing restores access. One trial per customer; we may refuse or revoke trials to prevent abuse.
5.2 Paid plans (prices in USD, per month, exclusive of any applicable taxes): Growth — $79/month, 10,000 AI credits, 1 Google Ads account. Pro — $199/month, 40,000 credits, up to 10 accounts. Agency — $799/month, 200,000 credits, unlimited accounts.
5.3 Subscription and auto-renewal. Paid plans are monthly subscriptions billed in advance via our payment processor, Stripe. Your subscription renews automatically each month and your payment method is charged at each renewal until you cancel. You can cancel at any time via “Manage subscription” in your billing settings; cancellation takes effect at the end of the current billing period, and you keep access until then. Except as stated in Section 5.6a or where required by law, we do not refund partial billing periods. After a cancelled subscription ends, your workspace reverts to the (expired) trial state described in Section 5.1 — data kept, Service stopped until you re-subscribe.
5.4 Plan changes. You can upgrade or switch plans at any time. Plan changes are prorated and the prorated difference is charged immediately; the exact amount is shown to you before you confirm. If the charge fails, the plan change does not take effect.
5.5 AI credits. Each plan includes a monthly pool of AI credits consumed by your use of the AI assistant (based on actual AI usage, shown transparently in your dashboard). Included monthly credits reset each month and unused included credits do not roll over. If the pool is exhausted mid-month, you can upgrade or purchase a top-up.
5.6 Credit top-ups. Paid plans may purchase one-time credit packs (currently 2,500 credits for $25; 10,000 for $100; 25,000 for $250). Purchased top-up credits never expire; your monthly plan pool is consumed first. Using credits requires an active paid subscription (or trial); if your subscription ends, unused top-up credits are preserved and restored in full when you re-subscribe. Credits have no cash value and are not transferable outside your workspace.
5.6a Refunds. If you are not satisfied, we will refund your first subscription payment on request within 14 days of that first payment. Unused credit top-ups (no credits from the pack spent) are refundable within 14 days of purchase; partially used packs are not. Renewal payments are otherwise non-refundable except as stated in these Terms or required by law. Refund requests: junaid@heyadpilot.com.
5.7 Price and plan changes. We may change prices, plans, or included credit amounts. For existing subscribers, changes take effect no earlier than 30 days after we notify you (by email and/or in-app), and only from your next billing period. If you do not agree, cancel before the change takes effect.
5.8 Failed payments. If a renewal payment fails, we may retry, and we may downgrade, suspend, or restrict the Service until payment succeeds.
5.9 Taxes; ad spend. Fees are exclusive of VAT, sales tax, and similar charges, which will be added where we are required to collect them. Fees do not include your Google Ads spend — Google bills you directly for your advertising; AdPilot never collects or handles your ad spend.
6. AI disclaimer and your responsibilities
6.1 AI can be wrong. The Service uses large language model technology. AI-generated analyses, answers, reports, and Proposals may be inaccurate, incomplete, outdated, or unsuitable for your situation, even when they appear confident and well-reasoned. They are suggestions and information, not professional advice.
6.2 You decide, and your decisions are your own. Because no change is applied without your approval, the decision to apply any Proposal is yours. You are responsible for reviewing each Proposal before approving it, for monitoring your account and its results after changes, and for all Google Ads spend and other consequences of approved changes. Reverting a change restores the setting only; spend and algorithmic learning that occurred in between cannot be undone.
6.3 In-app acknowledgment. Before the Service applies your first change, you must complete an acknowledgment in the product (renewed if its wording changes) confirming, in substance, that: (a) the AI assistant can make mistakes and, because changes affect real ad spending, this could in rare cases cost you money; (b) nothing is applied automatically — you review and approve every change yourself and those decisions are your own responsibility; and (c) you remain responsible for checking your account and its results, and AdPilot does not guarantee any specific outcome. We record the acknowledged statements, their version, and the time of acceptance. That acknowledgment forms part of these Terms.
7. Acceptable use
You agree not to, and not to allow others to:
(a) use the Service for anything unlawful, deceptive, or fraudulent, or to advertise products or content that violate applicable law or Google’s advertising policies — you are solely responsible for the legality and compliance of your ads, landing pages, and business; (b) connect a Google Ads account you are not authorized to manage; (c) reverse engineer, decompile, or attempt to extract the source code, models, or prompts of the Service, except where such restriction is prohibited by law; (d) probe, scan, overload, or interfere with the Service, bypass usage limits or the credit system, or access the Service by automated means outside the interfaces we provide; (e) resell, sublicense, or white-label the Service without our prior written agreement (managing client accounts you are authorized to manage, on plans that allow multiple accounts, is permitted and is not resale); (f) use the Service to build a competing product; (g) share account credentials outside your organization.
We may suspend or restrict access immediately where we reasonably believe this Section is being violated or to protect the Service, our customers, or third parties.
8. Intellectual property; your data
8.1 We (and our licensors) own the Service, including all software, configurations, prompts, designs, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription, subject to these Terms.
8.2 You retain all rights to your data — your Google Ads account data, your chat inputs, and your business information (“Customer Data”). You grant us a non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely as needed to provide, secure, and improve the Service and to comply with law. AI outputs generated for you (reports, recommendations) may be used by you freely for your business.
8.3 We may use aggregated, de-identified usage data (which does not identify you or any person) to operate and improve the Service.
8.4 If you send us feedback or suggestions, we may use them without restriction or obligation to you.
9. Confidentiality and data protection
9.1 Each party will protect the other’s non-public information with reasonable care and use it only as needed under these Terms.
9.2 Our collection and processing of personal data — including the sub-processors we use (hosting, database, authentication, payments, AI provider) and our handling of Google user data under the Google API Services User Data Policy (Limited Use) — is described in our Privacy Policy, which forms part of these Terms, together with any data processing addendum we make available.
9.3 If you connect Google Ads accounts that contain personal data of third parties (for example, client accounts you manage), you warrant that you have the necessary authority and a lawful basis for that data to be processed through the Service.
10. Warranty disclaimer
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF AI OUTPUT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT ANY ADVERTISING RESULTS (SECTION 2.5). THE SERVICE DEPENDS ON THIRD-PARTY SERVICES (INCLUDING THE GOOGLE ADS API) WHOSE AVAILABILITY AND BEHAVIOR WE DO NOT CONTROL.
11. Limitation of liability
11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — AND, FOR CLARITY, ADPILOT IS NOT LIABLE FOR ADVERTISING SPEND CHARGED TO YOU BY GOOGLE, OR FOR THE PERFORMANCE OF ADVERTISING CHANGES YOU APPROVED — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADPILOT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE TOTAL FEES YOU PAID TO ADPILOT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD 100 IF YOU HAVE PAID NO FEES (e.g., during the free trial).
11.3 Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, willful misconduct or gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.
11.4 The limitations in this Section reflect the allocation of risk between the parties and are a basis of the bargain; the Service’s pricing would be different without them.
12. Indemnity
You will defend and indemnify AdPilot and hold it harmless from claims, damages, fines, and reasonable costs (including legal fees) brought by a third party arising out of: (a) your ads, landing pages, products, or business, including violations of law or Google’s policies; (b) Customer Data you provide; (c) your use of a Google Ads account without sufficient authority; or (d) your breach of these Terms.
13. Term and termination
13.1 These Terms apply from your first use of the Service and continue while you have an account.
13.2 You may cancel your subscription at any time (Section 5.3) and may request deletion of your account by contacting junaid@heyadpilot.com.
13.3 We may suspend or terminate your access: immediately for material breach of these Terms (including Section 7), non-payment, or where required by law or to prevent harm; or otherwise with 30 days’ notice. If we terminate without cause, we will refund prepaid fees for the remaining period.
13.4 For 30 days after termination or an account deletion request, you may request an export of your data (change history, reports, chat history) in a common machine-readable format. After that window, we may delete your data, subject to the records retention described in Section 2.4 and our Privacy Policy. Trial expiry alone does not delete anything (Section 5.1).
13.5 Sections that by their nature should survive (including 2.4, 8, 9, 10, 11, 12, 13.4, 15, 16) survive termination.
14. Changes to these Terms
We may update these Terms from time to time. For material changes, we will give at least 30 days’ notice by email and/or in-app before they take effect. If you continue using the Service after the effective date, the updated Terms apply. If a material change is detrimental to you, you may terminate as of its effective date and receive a pro-rata refund of prepaid fees for the remaining period. The current version is always available at heyadpilot.com/terms.
15. Governing law and disputes
15.1 These Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Ras Al Khaimah, excluding conflict-of-law rules and the CISG.
15.2 Before filing any claim, the parties will attempt in good faith to resolve the dispute by contacting each other (for us: junaid@heyadpilot.com) and negotiating for at least 30 days.
15.3 Any dispute not resolved amicably is subject to the exclusive jurisdiction of the competent courts of the Emirate of Ras Al Khaimah, United Arab Emirates. Nothing in this Section deprives you of the protection of mandatory provisions of the law of your country of residence that apply regardless of contract.
16. Miscellaneous
16.1 These Terms, the Privacy Policy, and the in-app acknowledgment (Section 6.3) are the entire agreement between you and us regarding the Service and supersede prior agreements. 16.2 If a provision is unenforceable, it will be modified to the minimum extent necessary, and the rest remains in effect. 16.3 Failure to enforce a provision is not a waiver. 16.4 You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of the business, with notice to you. 16.5 Neither party is liable for delay or failure caused by events beyond its reasonable control, except payment obligations. 16.6 The Service depends on third-party services (including Google, hosting, database, authentication, payment, and AI providers); their availability is outside our control, and your use of Google Ads remains governed by your agreement with Google. 16.7 We may notify you via the email on your account or in-app; notices to us: junaid@heyadpilot.com. 16.8 These Terms are drafted in English; the English version controls.
